Corporations
In 1850, legislation authorized the Alabama Secretary of State to file and certify articles
of incorporation for road construction companies and the Corporations Division was born. In the years
that followed, steamship, railroad, banks, and insurance companies were required to file articles or charters
of incorporation with the Secretary of State. In time, the Office of the Secretary of State became the
depository for corporate records and the need for a Corporations section was evident. Today, the
Corporations Division, staffed by 11 employees, receives some 500 requests each day for information
regarding its 250,000 filings.
The Corporations Division operates as a depository for records of domestic corporate entities and foreign
entities that have qualified to transact business in Alabama. The types of entities we serve include For-Profit
Corporations, Non-Profit Corporations, Limited Liability Companies, Limited Partnerships, and Registered Limited
Liability Partnerships.
